Yingying (Lily) Li is a senior expert lawyer in the fields of financial investment and financing. She primarily concentrates her practice in banking and finance, corporate and M&A, dispute resolution, private equity and investment fund. In particular, she has a great deal of practical experience in pan-asset management, standardized financial product issuance, corporate M&A/asset restructuring, non-performing asset disposal and dispute resolution.

Lily regularly acts for domestic and foreign banks, asset management companies, trust companies, fund companies and their subsidiaries, securities companies and their subsidiaries, insurance companies and their asset management companies, financial leasing companies, factoring companies and large enterprise groups, etc.

Experience
Pan-asset management
Lily has very rich experience in providing  legal services in relation to designing transaction structure, conducting legal due diligence, issuing legal advice, drafting full set of legal documents for various pan-asset management products, including but not limited to syndicated loan, trust, asset management products of banks/ subsidiaries of fund companies/ subsidiaries of securities companies / insurance companies or their asset management companies, private equity fund, financial leasing, etc.

Standardized financial product issuance
Lily provides professional legal services for various standardized financial products in terms of deal structure, registration and issuance, and she also deeply engaged in the realm of asset securitization and registration/ issuance of various types of bonds (including inter-bank market debt financing instruments, corporate bonds, financial debts, U.S. dollar debt issued in U.S. bond market or Hong Kong bond market, Dim sum bonds, etc).

Corporate M&A and asset restructuring
Lily is extremely experienced in the areas of corporate M&A and asset restructuring with a particular emphasis on the resolution of complex legal issues relating to  corporate M&A, capital expansion, equity transfer, asset restructuring and asset acquisition.

Non-performing  asset disposal
Lily’s capabilities are also complemented by her long-term and extensive experience in providing comprehensive services for disposing non-performing assets (including single non-performing asset and non-performing asset packages), including but not limited to: conducting buyer/ seller due diligence, assisting in package formation, restructuring, judicial disposal, investing in non-performing assets by means of structured arrangements such as private equity fund, trust, asset management plan, non-performing asset securitization, etc.

Dispute resolution
In her practice, Lily has represented a large number of major complicated cases which exceeds tens of billions of RMB yuan in total amount, handling a broad spectrum of disputes, such as financial loan contract disputes, business trust disputes, asset management plan disputes, bond disputes, financial leasing disputes, factoring disputes, guarantee disputes, equity disputes, etc.
