Summary
Mr. Jin is the principal founding partner of Beijing Dacheng (Shanghai) Law Firm (current name: Dentons Shanghai Office). He has more than 20 years of legal practice and extensive experience in securities, finance, civil and commercial litigation and arbitration, and mergers and acquisitions. His practice involves a broad range of matters with a particular emphasis on complex civil litigations.

Prior to joining Beijing Dacheng (Shanghai) Law Firm in 2002, he was the head of Legal Department of Yanzhou Coal Mining Co., Ltd., which is the first and the only coal mining company listed on New York Stock Exchange, Hong Kong Stock Exchange, and Shanghai Stock Exchange (NYSE: YZC, SEHK: 1171, SSE: 600188).  Mr. Jin led the whole process of domestic and oversea listing, capital raising and mergers and acquisitions for Yanzhou Coal Mining Co., Ltd.

Corporate and M&A
· Represented a Hong Kong Main Board listed real estate company on its acquisition of a well-known company listed in Hong Kong and its subsidiaries in mainland China
· Represented a large-scale state-owned enterprise on its acquisition of all the shares of Felix Resources Limited
· Represented a biopharmaceutical company on its merger and acquisition projects
· Represented a group company and its affiliated companies in Jiangsu Province on asset restructuring
· Provided a special legal verification service for Shanghai Dasheng Agriculture Finance Technology Co., Ltd. in connection with its domestic transaction issues

Dispute Resolution
· Represented a Shanghai group company and a real estate company in the loan disputes, including representing the clients in front of the first and the second trials, and appellate retrial hearings in front of the Supreme People's Court after the second trial.  The Supreme People's Court overruled the decisions of the first and second trials and ordered Tianjin High People's Court to retrial the loan case.
· Represented a Shanghai investment management company and a Shanghai biochips company in contract validity disputes, including advising both clients in front of the first and the second trials, and appellate retrial hearings in front of the Supreme People's Court after the second trial.  The Supreme People's Court overruled the decisions of the first and second trials and ordered Tianjin High People's Court to retrial the case.
· Represented a Shanghai group company in an equity transfer dispute with a medical technology company.  Obtained the supports by the court in all cases and assisted the client in realizing all rights in the claims by means of paying debt in kind.
· Represented a well-known private enterprise on an equity transfer dispute with a car investment company (for both the first trial and the second trial).  The case has been awarded as one of the guiding cases released by the Supreme People’s Court.
· On behalf of a domestic group company and a domestic person, advising the clients in handling a repayment confirmation letter arbitration case with a Hong Kong citizen in Shanghai International Economic and Trade Arbitration Commission.  In this case, the domestic company and the domestic person provided a guarantee for an overseas loan. According to the China laws, cross-border security and guarantees must be filed with China foreign exchange authority.   The verdict ruled in favour of our clients that the clients do not need to perform any obligation for the guarantee due to the lack of filing with China foreign exchange authority.
· On behalf of numerous clients in many first-instance cases in front of Shanghai High People's Court, Anhui High People's Court, Tianjin High People's Court and Jiangsu High People's Court and second-instance cases in the Supreme People’s Court, and the object of the litigation for each of such cases is in a large amount.
