Practice Areas
Mr. Wang has extensive experience in the fields of private equity, IPO, M&A, liquidation, bankruptcy and restructuring, banking, disposition of  bad assets, asset exchange, general corporate, real estate, litigation and arbitration, specifically: (1) Investment, Financing and Capital Market. Serving as a standing counsel for  the governmental funds of the People’s Republic of China (“PRC”), private equity funds, guarantee corporations and/or portfolio companies.  Industries involved include hi-tech, real estate, manufacturing, mining and smelting, coal chemistry, fine chemistry, cement, innovative commercial models.  (2) Corporate. Serving as a standing counsel/ independent director for enterprises in either starting-up, growing, restructuring or listing stage, advising on corporate financing, risk and compliance issues, submitted to the PRC stock exchanges Lawyer’s Opinions for record; issued due diligence report for PRC securities regulatory authorities.  (3) Asset Exchange.  Standing counsel for the PRC Western Asset Exchange, one of the four exchanges qualified to trade state-owned assets.  Proficient in trading assets and stocks of state-owned enterprises under the State Asset Supervision and Administration Commission regulations.  (4) Liquidation, Restructuring and Bankruptcy. Appointed by the People’s Courts as the chief administrator of the supervision committees or liquidation panels respectively, in either regular or policy-guided bankruptcy cases.  The bankrupts include real estate developers, investment companies, and state-owned manufacturers.  (5) Banking and Asset Disposition.  Represented Bank of China,  Industrial and Commercial Bank of China,  China Construction Bank,  Agriculture Bank of China,  Xi’an Municipal Commercial Bank,  Xi’an Municipal Credit Union,  China Orient Asset Management Corporation, China Huarong Asset Management Corporation in their debt restructuring, bad assets disposition matters, either in court or through alternative resolutions.  (6) Real Estate.  Standing counsel for real estate developers, possessing an insider’s skills on estate development practice and project financing.  (7) Litigation and Law Enforcement.  Represented nearly a thousand of contentious and/or law enforcement cases;  assisted in adjudicating civil and commercial law suits in a People’s Court; arbitrating and mediating cases as a qualified arbitrator; specialized in analyzing the cruxes of complex issues and resolving the problems by tailored litigation strategies.  (8) Intellectual Property (“IP”)  and Others: knowing well about the legal frame and general strategies for IP protections, global search and registration for patents, trade marks, the 337 investigation of the US International Trade Center, PRC or US anti-monopoly, anti-dumpling, PRC foreign direct investment, PRC foreign exchange regulation, tax implications in cross-boarder transactions/ investments, the red-chip structure, the Sina/ VIE model, etc.  Tracking credibility of service providers and making reliable recommendations to clients; cooperating with experts and boutique firms in their respective fields.
