Dacheng Advises Fujian Tonghang Aviation Industry Co., Ltd. on Conclusion of Contracts with Brumby Aircraft Australia

On July 31, 2014, Fujian Tonghang Aviation Industry Co., Ltd. (“Fujian Tonghang”), a subsidiary of AVIC, and Brumby Aircraft Australia signed contracts of joint venture and transfer of technology at Sydney Town Hall, Australia. 

Following more than six months’ negotiations, the two sides agreed to establish a joint venture—Fujian Brumby Aircraft Co., Ltd.—in Fuqing-based AVIC Fujian Multifunctional Industrial Park, to which Brumby Aircraft Australia would transfer intellectual property and proprietary technology regarding Brumby 600 and Brumby 610. The joint venture would put in place complete production lines for Brumby aircrafts and cooperate fully with Brumby Aircraft Australia in global sale and distribution, after-sale service and development of aircraft models. 

A Fujian-based team composed of partner Yu Haiyan, attorney Sun Zhongkai and paralegal Guo Lijia advised Fujian Tonghang on the transaction in question. They were responsible for communicating with the foreign partner, offering legal counsel to the client, drafting contracts regarding the joint venture and transfer of technology, structuring the joint venture, and drafting articles of association. The joint venture represents the launch of the first Sino-foreign general-purpose aircraft manufacturing base in Fujian and a new chapter in the province’s aviation sector propelled by the development of complete production chains of general-purpose aircrafts.
