Dacheng Advises China Zhongsheng Resources Holdings Limited on HKEx Main Board Listing

On April 27 2012, China Zhongsheng Resources Holdings Limited (Code No.: 2623) had an initial public offering and was launched at the Main Board of the Stock Exchange of Hong Kong. Mr. Eddy Fong, chairman of Securities & Futures Commission of Hong Kong, Mr. Chung-kong Chow, newly appointed chairman of Hong Kong Exchanges and Clearing Limited (“HKEx”), Ms. KO Yuk Yin, chairman of the Listing Committee of HKEx and Mr. Mark Dickens, director of the Listing Division of HKEx attended the listing ceremony.
 
China Zhongsheng Resources Holdings Limited, holding domestic equity in Shandong Xingsheng Mining Industry Company Limited, is primarily engaged in the exploitation of iron ore and the production of iron powder. With over 700mln tons of reserve in Yishui County, Linyi City of Shandong, it is the largest private iron ore operator in Shandong.
 
Dacheng acted as PRC legal counsel for the company’s HKEx listing. The project was led by senior partner Li Shoushuang, with concerted effort from attorneys Guo Yaoli, Yang Fan and Li Xue. The Dacheng team was charged with key tasks such as pre-listing corporate restructuring, issuing PRC law-based legal opinions, drafting the prospectus and assisting the company in building a red-chip structure.
