Recently, our Shanghai-based senior partner Mr. Huang Kaijun and his team advised Shanghai Huachen Technology Co., Ltd (hereinafter referred to as “Huachen”) on acquiring Shanghai Tiandi Daochuan Parking Equipment Manufacture Co., Ltd and the two parties signed the contract smoothly at Shanghai Office at SWFC on August 5, 2015.

The M&A lasted 5 months from the due diligence to the execution of agreement. The company under M&A has a relatively complex structure and numerous branches and is a leading enterprise of mechanical parking equipment manufacture industry in China. Upon completion of M&A, Huachen will possess a complete industrial chain of parking equipment, including design, manufacture, construction and installation, operation and management. Since various technologies of the company under M&A, such as car park tower and removable self-propelled steel-structure parking facilities, are all imported from Japan, for which relevant data are rarely available in China, it gets even harder to analyze and evaluate the legal risk for the case. By overcoming various difficulties, our attorney Huang Kaijun and paralegal Huang Mingxing and other team members maximized the interests for the client as well as strived to coordinate divergence between the parties before finally causing the successful contract signing for the M&A project and winning the affirmation of the client for the high-level legal services.
