Dentons advises Hong Kong-Zhuhai-Macau Bridge cross-border shuttle bus operator

On October 24, 2018, the Hong Kong-Zhuhai-Macau Bridge (HZMB) officially opened to traffic, which captured the world's attention. The first cross-boundary shuttle bus also drove onto the HZMB and officially opened for operation. The shuttle bus will serve passengers between the three cities, greatly enhancing the living and business convenience of the residents of the three cities.

Dentons Guangzhou senior partner Zhang Xiangfa, associate Xia Zixin and other team members were retained by the Guangdong Automobile Transportation Co., Ltd., Guangdong Gongbei Car Transport Co., Ltd., Hong Kong-Zhuhai-Macau Transport (Macau) Co., Ltd. and Motor Transport Company of Guangdong and Hong Kong Limited to provide legal advices on the establishment of the Hong Kong-Zhuhai-Macau Bridge Shuttle Bus Co., Ltd. (the Company) and the related operational issues.

This matter involved the laws and regulations in Guangdong, Hong Kong and Macau. As the general coordinator of this deal, Mr. Zhang organized and coordinated Dentons' lawyers in Guangzhou, Hong Kong and Macau to provide bilingual legal services for this transaction. Their services included assisting in the Company's establishment (including but not limited to drafting the shareholder agreements, company charters, company basic regulations, etc.), standard operation and corporate governance, management of business contracts, human resources management and incentives, advising the above-mentioned transportation companies in Hong Kong, Zhuhai and Macau on forming a consortium to participate in the bidding for the operator of the HZMB, researching on the validity of the relevant legal instruments of the deal and the compliance issues of the overseas investment, and issuing an attorney's opinion letter.
